Zenodot Terms of Service

These Terms of Service ("Terms") govern your use of Zenodot, a personal note-taking and "Library" application (the "Service") made available by Jackie C, sole proprietor, d/b/a Zenodot ("we", "us", "our"), an Australian sole proprietorship operating from Victoria, Australia.

By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility and acceptance

You must be at least 13 years old to use the Service. By accepting these Terms, you represent that you are at least 13 and that you have the legal capacity to enter into a contract in your place of residence.

If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, in which case "you" refers to that organisation.

We may refuse to provide the Service to anyone, for any reason, at any time, and may terminate accounts as set out in §10.

2. Your account

When you first launch Zenodot, you can sign in with Apple or Google or choose to create a server-backed Guest account using Firebase Anonymous Authentication. Opening the app alone does not create an account. You can use Library, Chute, and Ask/Librarian as a Guest under the free-tier limits. Subscription features require an account linked to Apple or Google.

A Guest is normally available again on the same device, but it has no separate recovery credential. If you clear app data, lose the device, or otherwise lose the Anonymous Firebase identity before linking, you may permanently lose access to the Guest account and its server-stored content. Linking Apple or Google adds recovery and cross-device access.

If the Apple or Google credential you select is unused, it is linked to your Guest and your account and data stay in place. If it already belongs to another Zenodot account, you may choose to Merge the Guest history into that linked account, Throw away the Guest data, or Cancel. Throw away immediately deletes the Guest content and cannot be undone, subject to ordinary backup-retention windows and records we must retain by law. We retain a minimal disabled identity record to prevent old credentials from reactivating a merged or discarded Guest.

You agree to:

  • keep your device, Guest identity, and Apple or Google account credentials secure;
  • ensure the information associated with your account remains accurate;
  • take responsibility for all activity that occurs under your account;
  • notify us promptly at zendotapp@gmail.com if you believe your account has been compromised.

We are not responsible for losses caused by unauthorised access to your account where you have not taken reasonable steps to protect it.

3. The Service and the Librarian

Zenodot lets you drop raw notes into the Chute, which the Librarian (an AI assistant) files into your organised Library of Shelves, Books, and Pages. You can ask the Librarian questions about your own Library, Chute Notes, and ingestion history from the Ask tab.

The Librarian is an AI model. Its output may be inaccurate, incomplete, or misleading. It does not provide professional advice (legal, medical, financial, or otherwise) and must not be relied on as such. Always review the Librarian's work before treating it as authoritative.

We may change, suspend, or discontinue any feature of the Service at any time, with or without notice. Where a change is material, we will give you reasonable advance notice where practicable.

4. Subscriptions, billing, and auto-renewal

Zenodot Pro is a paid subscription tier that unlocks additional features of the Service. Subscriptions are offered on the following terms:

There is no free trial. The prices above are quoted in US dollars. The final amount charged to you, in your local currency, is set by the applicable app store (Apple App Store or Google Play Store) and may include applicable taxes and currency-conversion fees applied by the store.

  • Auto-renewal. Your subscription automatically renews at the end of each billing period at the then-current subscription price unless you cancel at least 24 hours before the end of the current period.
  • Billing. Payment is charged to your Apple ID or Google Play account at confirmation of purchase. We never see or store your card details.
  • Price changes. If we change the price of Zenodot Pro, we will give you reasonable advance notice. Continued use after the change takes effect constitutes acceptance of the new price.
  • Nature of the licence. A subscription is a licence to use the Pro features for the applicable subscription term. It is not a sale of content and does not transfer any ownership interest in the Service.

5. Managing, cancelling, and refunds

You can manage and cancel your subscription in your store account settings at any time:

  • iOS: Settings → Apple ID → Subscriptions.
  • Android: Google Play Store → Payments & subscriptions → Subscriptions.

Refunds. Refunds are governed by the Apple App Store and Google Play Store refund policies. Zenodot does not issue refunds directly. Please refer to:

6. Licence and acceptable use

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial note-taking and organisation. The licence is contingent on an active Zenodot Pro subscription where Pro-only features are used.

You agree not to:

  • use the Service for any unlawful purpose or in violation of any applicable laws;
  • reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by applicable law;
  • access or attempt to access non-public areas of the Service, or interfere with any security or access-control feature;
  • upload content that infringes the intellectual-property rights of others, or that is defamatory, obscene, harassing, hateful, or otherwise unlawful;
  • attempt to prompt-inject, jailbreak, or otherwise subvert the Librarian, its underlying models, or its safety controls;
  • use the Service to train, fine-tune, or evaluate any third-party machine-learning model using data derived from the Service, or to scrape the Service for that purpose;
  • resell, sublicense, or commercially exploit the Service.

We may remove content or restrict access if we reasonably believe a user has breached this section.

7. Your content and intellectual property

You own your content. You retain all ownership rights in the Chute Notes, Library Pages, and other content you create or upload through the Service ("Your Content").

Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, and process Your Content for the purposes of:

  • providing the Service to you (including the Librarian);
  • maintaining, securing, debugging, and improving the Service; and
  • complying with our legal obligations.

This licence terminates when you delete the relevant content or close your account, subject to reasonable backup-retention windows set out in our Privacy Policy.

No training. We do not use Your Content to train, fine-tune, or evaluate any machine-learning model, including our own. The only model inference we perform is on-demand, scoped to your account, on the AI sub-processor set out in our Privacy Policy.

Our intellectual property. The Zenodot brand, logos, the Service itself, its design, the Librarian prompt pipelines, and all related software are owned by us or our licensors and are protected by intellectual-property laws. Nothing in these Terms transfers any ownership interest in them to you.

Feedback. If you give us feedback or suggestions, we may use that feedback without restriction or compensation to you.

8. Third-party services and sub-processors

The Service relies on third parties. By using the Service you agree that those third parties may process your data in accordance with their own terms and privacy policies. The current set of sub- processors is set out in our Privacy Policy and includes:

  • Apple Inc. — iOS app distribution and billing.
  • Google LLC (Google Play Store) — Android distribution and billing.
  • Google LLC (Google Cloud / Firebase / Vertex AI Agent Engine) — authentication, hosting, and AI inference for the Librarian.
  • RevenueCat, Inc. — subscription-entitlement synchronisation.

We will give you reasonable notice before adding a new sub-processor that handles Your Content.

9. Termination and suspension

By you. You may stop using the Service at any time and close your account using Settings → Delete account, or by emailing zendotapp@gmail.com. Deleting an account does not cancel an Apple App Store or Google Play subscription. If auto-renewal is active, you must turn it off through the store subscription-management screen before deleting the account. Once renewal is off, deletion is immediate and ends Pro access even if paid time remains.

By us. We may suspend or terminate your access to the Service at any time if:

  • you breach these Terms (including the acceptable-use rules in §6);
  • you fail to pay subscription fees;
  • we are required to do so by law or by a store; or
  • we discontinue the Service.

Effect of termination. On termination, your licence to use the Service ends. Provisions that by their nature should survive (including those relating to intellectual property, disclaimers, limitation of liability, and dispute resolution) will survive.

10. Disclaimers, limitation of liability, and indemnity

Service "as is". To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. We disclaim all warranties, conditions, and representations, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified. Where our services are not of a kind ordinarily acquired for personal, domestic, or household use, our liability for breach of a consumer guarantee is limited (at our option) to resupply of the services or payment of the cost of resupply, to the extent permitted by law.

Limitation of liability. To the maximum extent permitted by law and subject to the non-excludable rights above, in no event will we, our licensors, or our sub-processors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service, whether in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.

Our aggregate liability for all claims arising out of or related to these Terms or the Service will not exceed the greater of (a) the total amount you paid us for Zenodot Pro in the 12 months before the claim arose, and (b) AUD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot be excluded under the Australian Consumer Law.

Indemnity. To the maximum extent permitted by law, you agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms or your use of the Service.

11. Changes, governing law, and venue

Changes to these Terms. We may update these Terms from time to time. When we do, we will bump the version and the effective date at the top of this document, and we will show an in-app notice the next time you open the Service. If the changes are material, we will give you at least 30 days' notice before they take effect, either in-app or by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Governing law. These Terms are governed by the laws of Victoria, Australia.

Venue. Each party submits to the non-exclusive jurisdiction of the courts of Victoria, Australia, and waives any objection to that venue. Nothing in this section prevents a consumer from bringing an action under the consumer-protection laws of their place of residence.

Assignment on incorporation. If we incorporate a company to carry on the business of Zenodot (the planned entity is "JI8 LAB Pty Ltd"), we may transfer our rights and obligations under these Terms to that company. We will notify you in advance of any such transfer, and the transfer will not reduce your rights under these Terms.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior or contemporaneous agreements on that subject.
